David Baharvar Ramsey has diversified transactional experience in corporate, commercial and franchise legal matters.  He is the head of the firm's international franchise practice.

David has represented a variety of domestic and international business enterprises and entrepreneurs.  His corporate focus includes mergers, acquisitions and divestitures of companies; the formation and governance of corporations, limited liability companies, joint ventures and partnerships; venture capital investments in businesses; corporate re-organizations; and general corporate legal advice.  David's commercial contracts experience includes licensing agreements, e-commerce and software development agreements, procurement contracts, outsourcing contracts, and a variety of consulting, supplier, and master services agreements. His franchise experience includes drafting and negotiating franchise agreements, international development agreements, preparing franchise disclosure documents, franchise securitizations, and advising franchisors on a wide range of transactional issues.

David’s clients have included national and international franchisors; global publishing, media and entertainment brands (including magazines and newspapers in the print and digital space); nationwide telecommunications and cable companies; private investment funds; special committees of boards of directors; insurance companies; real estate companies; e-commerce companies; and product manufacturers and service providers in a wide variety of industries.
